The terms.

By accessing or using Propolyx (“the Service”), you agree to these Terms of Service. If you are using Propolyx on behalf of an organisation, you confirm that you have authority to bind that organisation.

Propolyx provides software that generates draft RFP responses, compliance matrices, and related artefacts from documents you supply. The Service is provided on an “as is” and “as available” basis.

You are responsible for reviewing all generated content before relying on it. The Service is a drafting and retrieval aid, not a substitute for human review.

You must keep your credentials confidential. You are responsible for activity under your account. Notify us immediately at security@propolyx.com if you suspect unauthorised access.

Cognito user pool policies require hardware-backed multi-factor authentication on Enterprise tenants by default.

You retain all rights, title, and interest in the content you upload and in the outputs generated for your tenant. We claim no ownership over your data or your outputs.

You grant us a limited licence to process your data only as needed to provide the Service. We do not use your data to train shared models.

You agree not to use the Service to: (a) infringe intellectual property; (b) generate content intended to defraud or deceive; (c) attempt to reverse-engineer the Service; (d) circumvent rate limits or security controls; or (e) violate applicable export controls or sanctions.

Fees are as set out on the Pricing page or in your Order Form. Fees are non-refundable except as required by law. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.

These Terms apply from the moment you first access the Service until terminated. Either party may terminate for material breach with 30 days' written notice. We may suspend the Service immediately for security or abuse.

Upon termination, you may export your data for 30 days. After that, data is permanently deleted from production systems and within 90 days from backups.

We warrant that we provide the Service with reasonable care and skill. Beyond that, the Service is provided WITHOUT WARRANTIES of any kind, including merchantability, fitness for a particular purpose, or non-infringement.

AI-generated content may contain errors. We do not warrant that generated responses are factually accurate or suitable for submission without human review.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of these Terms will not exceed the fees paid by you in the 12 months preceding the claim.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts of New Castle County, Delaware.
